TERMS AND CONDITIONS

Untitled Media is a Kenyan youth magazine and digital platform operated by Untitled Media Ltd ("Untitled Media," "we," "us," or "our"). We publish articles, videos, and community-submitted content covering culture, life, love, ambition, society, and politics — written by and for young Kenyans.

These Terms and Conditions ("Terms") govern your use of theuntitledmedia.com and all related subdomains, mobile applications, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

By accessing or using the Platform in any way — including browsing, reading, watching, sharing, or submitting content — you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, you must not use the Platform.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

We may modify these Terms from time to time at our sole discretion. Material changes will be communicated through the Platform or via email where appropriate. It is your responsibility to review these Terms periodically.

If you disagree with any modified Terms, your sole remedy is to discontinue use of the Platform. Continued use after the effective date of any modifications constitutes your binding acceptance.

The Platform is intended for users aged 13 years and older. By using the Platform, you represent and warrant that you are at least 13 years of age. If you are under 18, you must have the consent of a parent or legal guardian to use the Platform.

We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13 without verification of parental consent, we will delete that information as quickly as possible.

Certain features of the Platform may require you to create an account. When creating an account, you must provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, pose a risk to the Platform or its community.

All content published by Untitled Media on the Platform — including but not limited to articles, videos, graphics, logos, photographs, illustrations, audio, and design elements ("Untitled Media Content") — is owned by Untitled Media or its licensors and is protected by Kenyan and international copyright, trademark, and other intellectual property laws.

Untitled Media Content is provided for personal, non-commercial use only. You may share links to Untitled Media Content on social media and other platforms, provided that you do not modify the content and include proper attribution.

Users may submit articles, stories, opinions, questions, confessions, experiences, tips, comments, and other content ("User Content") through the Platform's submission forms and interactive features.

By submitting User Content, you grant Untitled Media a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and publicly display your User Content in any media format and through any distribution channel, for the purpose of operating and promoting the Platform, without compensation to you.

You retain ownership of your original work. You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not infringe the rights of any third party.

When using the Platform, you agree not to engage in any of the following prohibited activities:

You may not:

• Submit content that is defamatory, obscene, pornographic, harassing, hateful, or threatening

• Submit content that incites violence or contains hate speech directed at individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics

• Submit content that infringes the intellectual property or privacy rights of any person or entity

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

• Submit spam, advertisements, solicitations, chain letters, pyramid schemes, or any form of unauthorized commercial communication

• Upload viruses, malware, or any malicious code that could harm the Platform or its users

• Attempt to gain unauthorized access to the Platform, user accounts, or computer systems connected to the Platform

• Use any automated means (bots, scrapers, crawlers) to access or collect data from the Platform without our express written permission

• Interfere with or disrupt the proper functioning of the Platform or any servers or networks connected to it

• Submit content that is knowingly false, misleading, or deceptive

The Platform and its entire contents — including all Untitled Media Content, the Platform's design, layout, look, appearance, and graphics — are protected by applicable intellectual property laws. All rights not expressly granted in these Terms are reserved by Untitled Media.

The Untitled Media name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Untitled Media or its affiliates. You must not use such marks without our prior written permission.

We respect the intellectual property rights of others. If you believe that any content on the Platform infringes your copyright, please send a notice of claimed infringement to our designated copyright agent with the following information: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the allegedly infringing material and its location on the Platform; (c) your contact information; (d) a statement that you have a good faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Upon receipt of a valid notice, we will promptly remove or disable access to the allegedly infringing content and notify the content provider. Repeat infringers will have their accounts terminated.

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by Untitled Media. We do not endorse and are not responsible for the content, products, services, or practices of any third-party websites.

You acknowledge and agree that Untitled Media shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services.

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNTITLED MEDIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Platform or the servers that make it available are free of viruses or other harmful components.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNTITLED MEDIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law. Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless Untitled Media, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with: (a) your User Content; (b) your use of or access to the Platform; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.

If you access the Platform from outside Kenya, you do so on your own initiative and are responsible for compliance with local laws, to the extent local laws are applicable.

Before initiating formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally. If we are unable to resolve the dispute within sixty (60) days, either party may proceed to seek relief through the courts of competent jurisdiction in Nairobi, Kenya.

Any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after the claim or cause of action arose, or it shall be permanently barred.

We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice, effective immediately. Upon termination, your right to use the Platform will cease immediately.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy.

We are committed to protecting your privacy. We will not sell your personal information to third parties. We may use aggregated, non-personally identifiable data for analytics and platform improvement.

By using the Platform, you consent to receive electronic communications from us, including but not limited to emails, newsletters, and notifications within the Platform. You may opt out of marketing communications at any time by following the unsubscribe instructions included in each communication.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.

These Terms will be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent, or severed if modification is not possible.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Untitled Media regarding your use of the Platform and supersede all prior agreements, understandings, and representations, whether written or oral.

No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of Untitled Media. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
